Welcome to MarTech Circle! These Terms of Service ("Terms") govern your access to and use of our MarTech Circle community and platforms (the "Services"). Please read these Terms carefully, and contact us if you have any questions. By accessing or using our Services, you agree to be bound by these Terms and by our Privacy Policy.

1. Services

1.1 Description of Services

MarTech Circle provides a community for Marketing Technology Executives, virtual meetings, and in-person meetings. Our Services include but are not limited to, meeting coordination, communication, event planning, and member, speaker, and sponsor recruitment.

1.2 Modification of Services

We are constantly changing and improving our Services. We may add or remove functionalities or features, and we may suspend or stop a Service altogether. MarTech Circle may also update these Terms to reflect changes to our Services or for other legal or regulatory reasons.

2. Customer Obligations

2.1 Accurate Information

You must provide accurate and complete information when signing up for our Services and must keep this information up to date. 

2.2 Compliance with Laws

You agree to use the Services only in compliance with all applicable laws, rules, and regulations.

3. Fees and Payment

3.1 Pricing

Pricing for our Services will be provided in your contract. MarTech Circle reserves the right to modify pricing with notice to you.

3.2 Payment Terms

Payment terms will be detailed in your contract. Unless otherwise agreed, payment is due upon receipt of the invoice.

3.3 Late Payments

Late payments may incur a late fee as detailed in your contract. Continued non-payment may result in suspension or termination of Services.

4. Termination

4.1 Termination by You

You may terminate your contract with MarTech Circle by providing notice as specified in your contract. 

4.2 Termination by MarTech Circle

MarTech Circle may terminate your contract if you violate these Terms or if it is necessary to do so to comply with legal or regulatory requirements.

4.3 Effect of Termination

Upon termination, all outstanding fees become immediately due. Any sections of these Terms which by their nature should survive termination will survive termination, including but not limited to payment obligations and limitations of liability.

5. Limitation of Liability

5.1 Disclaimer of Warranties

MarTech Circle provides the Services “as is” and “as available.” MarTech Circle does not warrant that the Services will be uninterrupted or error-free.

5.2 Limitation of Damages

To the maximum extent permitted by law, MarTech Circle will not be liable for any indirect, incidental, special, consequential, or punitive damages, or any loss of profits or revenues.

6. Indemnification

You agree to indemnify and hold MarTech Circle harmless from any claims, losses, damages, liabilities, including legal fees, arising out of your use or misuse of the Services, your violation of these Terms, or your violation of any rights of another.

7. Governing Law

These Terms will be governed by and construed in accordance with the laws of the State of Minnesota, without regard to its conflict of laws principles.

8. Dispute Resolution

Any disputes arising out of or relating to these Terms or the Services will be resolved through binding arbitration conducted by the American Arbitration Association. The arbitration will be held in the Twin Cities, Minnesota.

9. Miscellaneous

9.1 Entire Agreement

These Terms, along with your contract and our Privacy Policy, constitute the entire agreement between you and MarTech Circle regarding the Services.

9.2 Amendments

We may amend these Terms from time to time. If we make material changes, we will provide you with notice. Your continued use of the Services after the changes come into effect will constitute your acceptance of the amended Terms.

9.3 Severability

If any provision of these Terms is found to be invalid or unenforceable, the remaining provisions will remain in full force and effect.

9.4 Waiver

No waiver of any term of these Terms will be deemed a further or continuing waiver of such term or any other term, and MarTech Circle's failure to assert any right or provision under these Terms will not constitute a waiver of such right or provision.
